The JŠK law firm provided legal advice to the North Moravian investment company cresco&finance a.s. in connection with the sale of Krnovská škrobárna spol. s r.o. and Krnovský lihovar spol. s r. o. to investment group Reticulum Holding.
cresco&finance, a company based in the Moravian-Silesian town of Krnov, has extensive experience with investment and acquisition projects in the areas of construction, real estate and agricultural and food production. Thanks to its strong regional roots, it also supports a number of activities of municipalities and non-profit organisations in the Moravian-Silesian Region.
Krnovská škrobárna is a purely Czech company with more than a century of tradition, which deals with the complete processing of wheat. It consists of three separate divisions – a starch factory,
a mill and a silo. The production and technological aspects of the divisions are interconnected, enabling the production of a wide range of products intended for the food and non-food industries. The establishment of a refined alcohol distillery in 2002 was a logical step in ensuring greater interconnectedness and production efficiency.
The JŠK transaction team was led by partner and head of the M&A practice Tomáš Doležil in cooperation with senior associate Helena Hailichová and junior lawyer Jan Koprnický. Our assistance mainly included structuring the transaction and preparing and negotiating transaction documentation.
“Unlike the recent project for cresco&finance (sale of SILNICE MORAVA), it was an exciting battle between several interested parties until the last moment,” Doležil said about the transaction. “The whole process and our role in it reflected this. It seems that both companies have finally found the right investor, for which we were happy to provide the client with our assistance.”
Transaction advice to the sellers was provided by the team of MiddleCap Partners CZ s.r.o. consisting of Sabina Matzenauerová, Petr Panáček and Jan Vrabčák.
